Dear Customer, please read these General Terms and Conditions of Sale carefully before purchasing products through the Menichelli Watches website.

These Terms govern the distance sale of products offered through the website of Menichelli s.r.l. and, where applicable, the use of the website itself. The submission of an order constitutes full knowledge and acceptance of these General Terms and Conditions of Sale.

These Terms apply both to consumer customers and, where compatible, to customers purchasing for professional or business purposes. The mandatory protections afforded to consumers under applicable law remain unaffected.

1. Scope of application

These General Terms and Conditions of Sale apply to all distance sales concluded through the Menichelli Watches website concerning the products published online.

Sale through the website is reserved to persons of legal age. Minors may purchase exclusively through a parent, legal guardian, or other duly authorised person.

2. Product information

Products offered on the website are described in their respective product sheets. Menichelli s.r.l. undertakes to represent and describe the products as accurately as possible.

Images, photographs, videos, and product descriptions are for illustrative purposes and may present minor non-substantial differences due, for example, to device settings, lighting conditions, or photographic rendering.

The publication of a product on the website does not automatically guarantee its immediate availability.

3. Online orders and conclusion of the contract

The Customer may submit a purchase request by following the procedure indicated on the website.

The order submitted by the Customer constitutes a contractual offer of purchase. The automatic acknowledgement of the order by Menichelli s.r.l. does not constitute final acceptance, but merely confirms that the order has been received.

The contract of sale shall be deemed concluded only when Menichelli s.r.l. sends the Customer an express acceptance of the order, or an equivalent confirmation of fulfilment, subject to verification of product availability, the accuracy of the information provided, and the outcome of payment.

Menichelli s.r.l. reserves the right not to accept or to cancel orders, even after their submission, in the following cases, by way of example:

• product unavailable;
• Customer information that is incomplete, inaccurate, or unverifiable;
• inability to carry out delivery securely;
• suspicion of fraud or unlawful use of the website;
• manifest and recognisable error in the price, description, or availability of the product.

Where an order that has already been paid for is not accepted, Menichelli s.r.l. shall refund any sums received.

4. Purchase procedure

To purchase a product, the Customer must follow the steps indicated on the website, entering the required information, reviewing the order summary, and confirming that they have read and accepted these General Terms and Conditions of Sale.

Before submitting the order, the Customer must be able to clearly view:

• the essential characteristics of the product;
• the total price, inclusive of taxes where applicable;
• any additional charges, including shipping costs;
• payment methods;
• delivery times and arrangements;
• the conditions and limits of the right of withdrawal, where applicable.

The order cannot be completed without acceptance of these General Terms and Conditions of Sale.

5. Product availability

Products published on the website may be available for immediate delivery or obtainable within a reasonable time, where so indicated on the relevant product sheet or subsequently confirmed by the Seller.

As product availability may vary in real time, including in coordination with other sales channels, Menichelli s.r.l. does not guarantee that a product displayed on the website is always immediately available for purchase.

Should a product prove to be unavailable after the order has been submitted, Menichelli s.r.l. shall promptly inform the Customer and may, at its discretion:

• propose an alternative product;
• agree on a different delivery date;
• proceed to a full refund of any amount already paid.

6. Prices

All prices published on the website are expressed in Euros (€).

Save where otherwise clearly indicated on the website and permitted by applicable law, prices intended for consumers are presented with a clear indication of the total price prior to order completion. Any additional costs, such as shipping fees or ancillary charges, are communicated before the purchase.

Menichelli s.r.l. reserves the right to modify prices at any time. The Customer shall be charged the price indicated on the website at the time the order is submitted, save for manifest or recognisable material errors.

Should a published price prove, due to a manifest error, to be evidently anomalous or unreasonably inconsistent with the value of the product, Menichelli s.r.l. may decline to fulfil the order and contact the Customer to propose an alternative solution or to refund any amount already paid.

7. Payment methods

Payment for the products may be made through the payment methods made available on the website at the time of purchase.

Menichelli s.r.l. reserves the right to carry out security checks and anti-fraud verifications prior to the final acceptance of the order.

In the event of failed authorisation, revocation, chargeback, non-credit, or negative outcome of the verification checks, the order may be suspended, declined, or cancelled.

8. Shipping and delivery

Shipments may be carried out by armoured courier service through Ferrari S.p.A. Spedizioni, or via insured UPS or FedEx couriers.

The choice of carrier may depend on the value of the goods, the destination, security requirements, or specific agreements with the Customer.

Shipping costs are borne by the Customer, unless otherwise specifically agreed in writing between the parties.

Delivery takes place exclusively to the person indicated in the order or to an authorised representative.

Upon delivery, the Customer or the authorised representative must inspect the external integrity of the packaging and the goods before accepting them. In the presence of visible irregularities, the Customer is required to raise immediate objections with the carrier and to inform Menichelli s.r.l. without delay.

9. Right of withdrawal

Where the Customer is a consumer, they shall have the right to withdraw from the contract within 14 days of delivery of the goods, without providing any reason, save for the cases of exclusion provided by law, such as goods that are clearly personalised.

Withdrawal must be communicated to Menichelli s.r.l. by means of an explicit statement, sent to the contact details indicated in these General Terms and Conditions of Sale.

Where the right of withdrawal is validly exercised, Menichelli s.r.l. shall issue the refund within the time limits provided by law, with the right to withhold the refund until the goods have been received or proof of return shipment has been provided.

10. Legal warranty of conformity

For consumer Customers, the legal warranty of conformity provided under applicable law shall apply.

For new goods, the legal warranty has a duration of 2 years from delivery. The consumer must always direct any claim to the seller. The principal remedies are repair or replacement; where these are not possible or appropriate, a price reduction or termination of the contract may follow.

For used goods, only where actually sold as such and only where expressly agreed with the consumer, the seller's liability period may be limited to a period that, in any event, shall not be less than 1 year.

11. Optional Menichelli Watches commercial warranty

In addition to the legal warranty, Menichelli s.r.l. may, where applicable, offer a further commercial or contractual warranty, in accordance with the terms set out in the relevant certificate or document delivered to the Customer.

The commercial warranty, where offered, neither replaces nor limits the legal warranty due to the consumer.

Watches sold by Menichelli Watches are verified, within the limits of ordinary professional diligence, with regard to authenticity and functionality prior to delivery.

12. Warranty exclusions

The legal warranty and any commercial warranties shall not cover defects or damage arising from, by way of example:

• improper or non-compliant use of the product;
• impacts, drops, or accidental breakage;
• unauthorised interventions, openings, or repairs;
• ordinary wear and tear of consumable components;
• carelessness, negligence, or lack of maintenance.

These exclusions shall not in any case restrict the mandatory rights afforded to the consumer in the presence of an original defect of conformity.

13. Retention of title

The products shall remain the property of Menichelli s.r.l. until full payment of the price, shipping costs, and any other amount due from the Customer has been received.

15. Limitation of liability

Menichelli s.r.l. shall not be held liable for delays or failures to perform due to force majeure, extraordinary events, strikes, logistical disruptions, carrier service failures, measures imposed by the authorities, or other causes that could not reasonably be foreseen or avoided.

Any limitation of liability is excluded in cases where it is not permitted by law, and the mandatory rights of the consumer remain unaffected.

16. Intellectual property

All content on the website, including text, images, photographs, trademarks, logos, graphics, layouts, videos, and distinctive signs, is the property of Menichelli s.r.l. or of the respective rights holders and may not be used without authorisation.

17. Modifications to the Terms

Menichelli s.r.l. may modify or update these General Terms and Conditions of Sale at any time. Modifications shall take effect from the date of publication on the website and shall apply to orders placed after that date.

18. Dispute resolution, governing law, and jurisdiction

Consumer Customers may seek out-of-court resolution through the competent ADR bodies.

These General Terms and Conditions of Sale are governed by Italian law, without prejudice to the mandatory rights afforded to consumers.

For disputes with consumers, exclusive territorial jurisdiction lies with the court of the place of residence or domicile of the consumer, in the cases provided by law.

For non-consumer customers, save for any mandatory provision to the contrary, the Court of Rome shall have exclusive jurisdiction.
